Terms and Conditions

These Terms & Conditions govern your access to and use of Storrverse, including all services, features, websites, applications, and tools provided through the platform.

01 Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Storrverse platform, including our website, multi-tenant merchant dashboard, storefront builder tools, communication servers, and all associated software functionalities (collectively, the "Platform"). These Terms constitute a legally binding contract between you and Storrverse (a subsidiary platform of BillyRanks Global Limited, "we", "us", or "our").

By creating an account, accessing the dashboard, or utilizing any of our automated infrastructure systems, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you are strictly prohibited from using the Platform. If you are acting on behalf of a business entity, you represent and warrant that you hold the legal authority to bind that entity to these structural provisions.

02 Platform Architecture and Service Scope

Storrverse provides a multi-tenant e-commerce platform that enables Merchants to provision online storefronts using isolated subdomains (e.g., "storename.storrverse.com"), host product inventories, process customer checkouts, and manage order lifecycles.

2.1 Service Tiers and Feature Flagging

  • The MVP Free Tier: At launch, the Platform defaults exclusively to a free access model. No subscription payments are captured during this initial product release.

  • Feature Gating: Higher-tier subscription configurations (including the Starter, Pro, and Enterprise tiers) are displayed within the system user interface but are functionally dimmed out and inaccessible pending future flags. We reserve the right to unblur, modify, or activate these paid subscription features and their associated limits at any time, subject to reasonable advance notification via your platform dashboard.

03 Account Security and Verification Logs

To establish an Account as a Merchant, you must complete the registration sequence by providing completely accurate, verifiable, and current data.

3.1 Verification and Authentication

  • Identity Infrastructure: During the account setup and subsequent security checks, the Platform utilizes your email address and active phone number to dispatch security verification elements and One-Time Passwords (OTPs).

  • User Capacity: By completing this verification flow, you warrant that you are at least 18 years of age and hold full legal capacity inside your operational jurisdiction.

  • Credentials Confidentiality: You are solely responsible for maintaining the strict confidentiality of your hashed entry passwords and transaction pins. You accept absolute accountability for all database modifications, inventory changes, or settings updates occurring under your validated security session. You must flag any structural security compromise or suspected unauthorized session token access to legal@storrverse.com immediately.

  • Data Protection Reference: During the account setup and subsequent security checks, the Platform utilizes your email address and active phone number to dispatch security verification elements and One-Time Passwords (OTPs).

04 Merchant Obligations and Operational Rules

As a Merchant, you retain exclusive control and liability over your product listings, pricing configurations, and descriptive catalog copy.

4.1 Product and Inventory Boundaries

  • Overselling Controls: The Platform requires you to explicitly assign a stock quantity variable to each listed item. By default, when product stock parameters reach zero, the system automatically toggles the storefront interface to display an "Out of Stock" status badge and disables customer "Add to Cart" hooks. Merchants may override this constraint only by manually selecting the "Continue selling when out of stock" setting checkbox within their catalog configuration workspace.

  • Prohibited Items: You are strictly prohibited from utilizing Storrverse infrastructure to publish, market, or distribute counterfeit goods, stolen inventory, unauthorized digital reproductions, weapons, unregulated items, or any products tied to fraudulent, misleading, or deceptive business practices.

4.2 Independent Customer Transactions

  • Third-Party Boundary: Storrverse is a technical software infrastructure provider; we are completely isolated from the transactional contract executed between a Merchant and an end-customer. We are not a party to, nor liable for, order fulfillments, shipping disputes, item defects, or direct customer refunds.

  • Storefront Legal Policies: Merchants are legally mandated to draft, upload, and display their own distinct terms of service and consumer privacy statements directly onto their storefront layouts to protect public buyer expectations.

4.3 Tax and Regulatory Frameworks

  • Third-Party Boundary: Merchants hold sole accountability for tracking, reporting, and remitting any regional Value Added Tax (VAT) or transactional sales levies calculated via their dashboard settings panels. The platform outlines localized defaults (such as Nigeria's statutory 7.5% VAT parameter), but the final submission integrity remains an un-delegated merchant compliance obligation.

05 Payment Gateway Integrations and Webhook Dependencies

Storrverse integrates with third-party payment aggregation services, specifically Paystack and Flutterwave, to allow merchants to process regional digital checkouts (via cards, bank transfers, or USSD configurations).

5.1 Webhook-Driven Processing

  • Third-Party Boundary: Anti-Phantom Order Protections: To prevent transaction gaps, the creation of a definitive "Paid" order inside the merchant dashboard is structurally dependent on an incoming transaction confirmation webhook fired from the respective gateway processor. Storrverse accepts zero liability for transactional processing delays, payout settlement delays, or technical errors originating on partner gateway systems.

  • PCI-DSS Compliance: Because all payment details are tokenized directly through inline provider modules, Storrverse does not ingest, manipulate, or warehouse raw customer debit or credit card properties on its local multi-tenant databases.

06 Prohibited System Activity

You agree that you will not engage in any activity that undermines the operational integrity or structural safety of the Platform. Prohibited activities include:

  1. Attempting to break out of multi-tenant database row separations to view or alter another merchant's isolated client configuration strings or consumer lists.
  2. Introducing software scripts, payload exploits, malformed configuration files, or viral items into our asset and media upload services.
  3. Executing reverse engineering attempts or scraping tools against our application programming interfaces (APIs) without express authorization.
  4. Using systemic exploits within promotional engines or automated cart-recovery features to trick transactional database models.

07 Intellectual Property Rights

7.1 Merchant Content Licensure

Third-Party Boundary: You preserve total ownership over all custom text descriptions, category assets, pricing spreadsheets, brand imagery, and multimedia elements uploaded to your tenant workspace. By publishing these assets to the platform, you grant Storrverse a non-exclusive, worldwide, royalty-free license to parse, mirror, compress, format, and serve your assets through our content delivery networks (CDNs) strictly for the functional delivery of your public storefront.

7.2 Platform Proprietary Security

All structural components of the Platform (including dashboard application software, backend microservice flows, design components, custom theme frameworks, layouts, operational metrics widgets, and corporate branding properties [excluding direct merchant product configurations]) are the absolute, exclusive property of Storrverse and BillyRanks Global Limited. You are strictly barred from duplicating or extracting these framework elements for personal or competitive distribution without written administrative authorization.

08 Warranties Disclaimer and Limitation of Liability

8.1 'As Is' System Provision

The Storrverse Platform, alongside all underlying service frameworks and database models, is provided on an "as is" and "as available" basis, without warranties of any context, whether express, statutory, or implied. We explicitly disclaim any implied guarantees of merchantability, continuous system performance, uninterrupted uptime during background database migrations, or total fitness for specialized retail activities.

8.2 Definitive Liability Constraints

To the maximum extent permitted under applicable consumer data protections and regional laws, Storrverse, its directors, and parent entities accept no liability for any indirect, consequence-driven, structural, or incidental losses. This covers loss of merchant marketplace revenue, missed profit curves, depletion of transactional store records, or reputational impact tied to storefront downtime. Where liability cannot be legally disclaimed under statutory jurisdiction rules, our total aggregate financial liability across all claims shall not exceed the actual subscription fees paid by the merchant during the immediate three-month period preceding the specific incident.

8.3 Force Majeure:

Storrverse shall not be liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, strikes, or other unforeseen circumstances.

10 Account Closure, Deactivation, and The 30-Day Data Clock

These Terms, alongside all operational claims, software disputes, or platform system disagreements, shall be governed by, and interpreted in full accordance with, the laws of the Federal Republic of Nigeria, without giving effect to any choice of law rules.

In the event of a dispute, you agree to submit a detailed claim summary to legal@storrverse.com. Both parties shall make a genuine, good faith attempt to settle the matter through amicable bilateral negotiations within a thirty (30) day calendar window. If an agreement cannot be reached after 30 days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Nigeria.

11 General Provisions

  • Severability: If any single line or paragraph of these Terms is deemed invalid or unenforceable by a court of law, that item will be limited or adjusted to the minimum extent required, and all remaining legal clauses shall continue in absolute force and effect.

  • Entire Agreement: These Terms, combined with our integrated Privacy Notice, constitute the complete, unshared agreement between the merchant and Storrverse, superseding all prior written or verbal project documentation.

  • Assignment Limitations: Merchants cannot assign their account obligations or storefront rights to a third party without our explicit written consent. Any unauthorized assignment will be deemed void and merchants remain liable for obligations even after attempted transfer. Storrverse may transfer its service responsibilities or system architecture rows without consent during a formal merger or platform purchase event.

  • Modification of Terms: We may update these Terms periodically to reflect system changes, legal requirements, or new features. Material changes will be communicated via dashboard notifications or email. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
